1. Acceptance of the Terms of Use
These Terms of Use are entered into by and between You and Ruxlo LLC ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of www.ruxlo.ai and mobile application available on Apple Store and Google Play (collectively, the "Website") including any content, functionality and services offered on or through the Website, whether as a guest or a registered user.
Please read the Terms of Use carefully before you start to use the Website. These Terms of Use contain an arbitration and class-action waiver clause which affects your rights to pursue claims in court. By accessing or using the Website, creating an account, joining a subscription, or otherwise interacting with the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://www.ruxlo.ai/privacy-policy, which is incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website.
Additional Terms. Some features of the Website have additional terms, such as our Subscription Agreement for paid plans and credits. Additional terms form part of these Terms of Use when you use the feature they cover. If additional terms conflict with these Terms of Use, the additional terms control for that feature.
This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.
2. Changes to the Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice prior to the date the change is posted on the Website.
Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
3. Accessing the Website and Account Security; Mobile Application Terms
We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users.
We may add, change, suspend, or remove any feature, free or introductory period, credit, plan, or price at any time. Features we make available free of charge, including during a pre-release program, may later be limited or offered only for a fee. You are responsible for both:
- Making all arrangements necessary for you to have access to the Website.
- Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.
To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use. Unless otherwise agreed in writing, you may not access, request, export, generate, or receive reports, outputs, or data relating to more than the daily limit we set from time to time, which will not exceed 5,000 single, specified parcels per customer per day. We may monitor, throttle, suspend, or terminate access to enforce this limit.
If you access the Website through a mobile application, you are responsible for any mobile carrier charges, data charges, and device requirements. If you download the mobile application from the Apple App Store, Google Play Store, or another app marketplace, your use may also be subject to the terms and policies of that app marketplace. These Terms are between you and us, not the app marketplace provider, but the app marketplace provider may be a third-party beneficiary of these Terms to the extent required by applicable marketplace terms.
Communications Features. We may offer features that let users message or call one another through the Website. We do not show users’ telephone numbers or email addresses to other users. Messages and calls made through the Website are subject to these Terms of Use and our Privacy Policy, and we may review, store, and act on them as described there, including to keep the Website safe and to enforce these Terms of Use. Calls made through the Website may be recorded and transcribed, and everyone on the call will be told at the start. By continuing a call after that notice, you consent to it being recorded and transcribed. We may make a recording or transcript available to the people who took part in the call, and we may use it to resolve disputes, enforce these Terms of Use, and keep the Website safe.
4. Prohibited Uses
You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:
- In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.

- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability. Additionally, you agree not to:
- Bypass, disable, or interfere with any security, rate limit, access control, usage restriction, or technical protection measure;
- Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website.
- Scrape, crawl, harvest, bulk download, cache, copy, reproduce, aggregate, compile, reverse engineer, extract, or reconstruct any property data, licensed data, reports, outputs, search results, or database made available through the Website.

- Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.
- Use the Website, or any property data or output obtained through it, in any manner that discriminates against, excludes, or targets any person on the basis of race, color, religion, sex, familial status, national origin, disability, or any other characteristic protected by fair housing or other anti-discrimination law.
- Otherwise attempt to interfere with the proper working of the Website.
5. Permitted Uses
You may access and use the Website only for your own internal purposes, including, if you are a contractor or other professional user, the internal purposes of your business. You may not reproduce, sell, publish, distribute, sublicense, assign, or incorporate any data on the Website into any product or service made available to any third party.
You acquire no right, title, or interest in the information on the Website. All rights in it remain with the applicable licensed data provider and that provider’s own data sources. The Website, and any copy or derivative of it, is the confidential information of that provider, including where portions of it originate in public records.
You may not store data from the Website in any database for more than 90 consecutive days. This restriction does not apply to work records, invoices, receipts, warranties, photographs, municipal permit records, or other material contributed to the Website by you or another user (collectively, “Non-restricted Data”).
In addition to the Prohibited Uses section above, except with respect to Non-restricted Data, you may not: (a) combine any data or information obtained through the Website with other data, or modify it, in order to create any product, database, model, score, or analytic that is offered or distributed to any third party; (b) selectively extract data elements from the Website for any purpose not permitted by these Terms of Use; (c) publish or publicly disclose the results of any comparison of data or information obtained through the Website against any other data source; (d) use any data or information obtained through the Website in or for any technology designed or intended to identify a natural person; (e) disclose any consumer name, mailing address, or loan information obtained through the Website without that consumer’s written authorization; or (f) search or query the Website by consumer name.
You may not use any data or information obtained through the Website, or any output derived from it, as a factor in establishing any individual’s eligibility for credit, insurance, housing, or employment; in evaluating any individual for employment or tenancy; in determining eligibility for any government license or benefit; or in any other manner that would cause it to be construed as a consumer report under the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) or any similar law.
You may not distribute any data or information obtained through the Website to any title insurance underwriter or title agent, or to any affiliate of either, for use in connection with providing title insurance. You may not use any such data, or any output derived from it, to design, develop, train, support, or enhance any artificial intelligence, machine learning, or other automated process used in the title insurance or settlement services industries.
If your account permits access by more than one individual, you are responsible for all access and use under that account and must ensure that each of your employees, agents, and authorized users complies with this section. You will limit access to consumer or personal information obtained through the Website to individuals with a legitimate need to know it.
Data and information made available through the Website may be derived from public records and statistical calculation, is not verified by us, and is provided on an "as is, as available" basis with all faults and without warranty of any kind, as further described in the Disclaimer of Warranties section. If you believe a specific record is factually inaccurate, you may submit it through the correction process described in the User Contributions section. We will handle the matter ourselves and will not refer you to, or involve, any data provider.
Except where information is broadly accessible to all visitors of the Website, your right to access data or information obtained through the Website ends when your account is terminated. On termination you must stop using, and must delete, any data obtained from the Website in your possession.
6. Credits, Fees, and Payment
Certain functions of the Website may require payment of fees, usage-based charges, credit purchases, or other amounts. All fees, billing terms, renewal terms, cancellation rights, taxes, refunds, and payment obligations are described in our Subscription Agreement.
We may offer some or all of the Website free of charge for a period we choose, and we may introduce or change fees, credits, or plans at any time. A feature being free today does not mean it will remain free.
Credits. Some features of the Website use credits. Credits are a way of measuring use of the Website: you may receive credits when you open an account, earn them by contributing to the Website, or receive them with a paid plan, and you spend them on the actions we specify. Credits have no cash value, are not your property, cannot be sold, transferred, or exchanged for money, and are not refundable except where the law requires. We decide how credits are earned and spent, how many credits an action costs, and when credits expire, and we may change any of these at any time. We may correct a credit balance that is wrong and remove credits obtained through error, fraud, or misuse of the Website. Credits end when your account closes.
Paid Features. Paid plans, credit purchases, and other paid features are governed by our Subscription Agreement, which you accept when you buy them. It covers pricing, automatic renewal, billing, cancellation, refunds, and purchases made through an app store. We may also set usage limits on any feature, including features that use artificial intelligence, whether or not you have a paid plan.
Professional Listings. We publish pages for contractors and other home-service professionals, including professionals who have not claimed their page. On pages that list professionals by trade and town, professionals are ordered by the number of jobs at properties in that town that a user claiming the property has confirmed, and payment does not affect that order. Ratings, and the ability to request a quote through the Website, are shown only for professionals who subscribe to Ruxlo, so a professional shown without ratings has not been rated lower. A listing is not an endorsement by us, and a confirmed job means a user claiming the property confirmed the work was done, not that we have assessed its quality.
7. Inactive Accounts; Storage and Retention.
Every account, free or paid, has a storage limit for the photographs, documents, and other files you upload, and individual files may also have a size limit. The limit for each plan is shown in the Services, and we may change limits. If you need more storage, you can move to a plan with a higher limit.
If your account is over its limit, for example after a downgrade or cancellation, you can still view and download your files but cannot upload new ones until you are back under the limit. If your account remains over its limit for 90 days, we may delete files above the limit, starting with the oldest, after giving you at least 30 days’ notice.
If you have a free account and do not sign in for 12 months, we will notify you using the contact details on your account. If you do not sign in within 30 days of that notice, we may delete your uploaded files and close your account.
Work records confirmed by a user claiming the property, and anything you chose to publish with them, are part of the permanent record for the property and are not deleted under this Section, as described in the Terms of Use. Ruxlo is not a backup service. You are responsible for keeping copies of anything you upload.
8. Intellectual Property Rights
The Website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by the Company, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
These Terms of Use permit you to use the Website for your own personal or internal business purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website.
If you wish to make any use of material on the Website other than that set out in this section, please address your request to: legal@ruxlo.ai.
If you copy, modify, download or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.
9. User Contributions
The Website may contain profiles, forums, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Website. All User Contributions must comply with the Content Standards set out in these Terms of Use.
Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns a royalty-free, perpetual, irrevocable, worldwide, non-exclusive and fully sub-licensable right and license (through multiple tiers) to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose, and you waive any so-called “moral rights” to any User Contributions. You represent and warrant that:
- Your User Contributions are accurate to the best of your knowledge.
- You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
- Your submission does not violate any law, contract, lease, confidentiality obligation, privacy right, intellectual property right, publicity right, trade secret right, or other third-party right.
- The use or license of such content by Company to third parties will not, infringe any right or interest owned or possessed by any third party.
- There are no claims, judgments or settlements to be paid by you, or pending claims or litigation, relating to such User Contributions.
- The User Contributions are free of any viruses, Trojan horses, or other malware.
- All of your User Contributions do and will comply with these Terms of Use.
You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.
You authorize us to extract, scrape, parse, structure, summarize, classify, analyze, and incorporate data from documents you upload, including invoices, receipts, warranties and permits, into the Website, including our databases and related data products, subject to these Terms and applicable law. We are not responsible for determining whether you have the right to upload a non-public document. You are solely responsible for any claims, disputes, liabilities, losses, or damages arising from your upload or submission of such materials.
We may use, display, modify, crop, compress, enhance, tag, geolocate, analyze, and incorporate uploaded photographs and images into the Website, including for property records, data validation, AI training or improvement, and other product features, subject to applicable law.
A work record contributed to the Website attaches to the property parcel rather than to any account. Once a work record has been recorded by a contractor and confirmed by a user claiming the property, it becomes part of the permanent record for that parcel: it remains associated with the parcel when the property is sold, and when the contributing contractor or the confirming owner closes their account, and neither you nor we will remove it. We will remove or amend a confirmed work record only where we are required to do so by law or by court order, or where the record is corrected through the correction process described below.
Monitoring and Enforcement
We have the right to:
- Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
- Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.
- Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms of Use.
Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT AUTHORITIES.
A complaint about the quality of work described in a record is handled through ratings and reviews, and is not by itself a ground for removing the record. A challenge to the factual accuracy of a record is handled privately through our correction process, and is not published as a public flag or dispute marker on the record or on any professional’s page. If we suspend, restrict, or remove content or an account under this section, you may appeal that decision, and we may also review such a decision on our own initiative.
However, we do not undertake to review all material before it is posted on the Website and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
